Parties

These Terms and Conditions (the "Terms") are entered into between Huwar ai Company Technical, a limited liability company incorporated in the Kingdom of Saudi Arabia under Commercial Registration No. 7052865636, engaged in software publishing and computer programming activities, and having its registered office in Riyadh, operating under the commercial name "Huwar" (and hereinafter referred to as "Huwar", "we", "us" or "our"), and you, the person accessing or using the Service (the "User", "you" or "your"). This includes a User who uses the Service to prepare for the tests and a User who applies for or is granted access to the Reviewer Portal described in Clause 18.

Clause 1. Introduction

Huwar is an Arabic-first online platform offering practice products, including, at the date of these Terms, products for the General Aptitude Test (Qudurat / GAT) and the Achievement Test (Tahsili / AT). The Service is delivered through the website (huwar.ai), through Huwar's online practice applications, and through the reviewer and contributor portal at (teach.huwar.ai) (the "Reviewer Portal") (collectively, the "Service").

These Terms, together with the Privacy Notice and any plan-specific or promotional terms expressly incorporated by reference, form the entire agreement between you and Huwar in respect of the Service. If you do not agree to these Terms, you must not access or use the Service.

Clause 2. Acceptance of the Terms

Your access to or use of the Service constitutes your full and unequivocal acceptance, leaving no room for doubt or interpretation, of all of these Terms and of the Privacy Notice published on the Service, which together form the governing reference for the manner in which you use the Service. If you do not agree to any provision of these Terms, or if you accessed the Service in error or unintentionally, you must immediately stop using it and leave. You accept these Terms by: (a) submitting the registration form or otherwise creating an Account on the Service, including on the Reviewer Portal; (b) purchasing a subscription; or (c) accessing or using the Service in any manner. By accepting these Terms, you confirm that you have full legal capacity under the laws of the Kingdom of Saudi Arabia to enter into a binding agreement. If you do not have full legal capacity, you confirm that your guardian or legal representative has reviewed and accepted these Terms on your behalf and is responsible for your use of the Service.

Where a guardian or legal representative accepts these Terms on the User's behalf, that guardian or legal representative is treated as the contracting party in respect of the User's use of the Service and is responsible for that use.

Where the Service displays a notice at the point of registration next to or below the registration form linking to these Terms and to the Privacy Notice and stating that, by continuing or submitting the form, the User accepts both, submitting the registration form constitutes the User's confirmation that they have read, understood and accepted these Terms and the Privacy Notice.

Huwar may update these Terms from time to time in accordance with Clause 30 (Changes to the Terms). Continued use of the Service after the effective date of an update constitutes acceptance of the updated Terms.

Clause 3. Definitions

In these Terms, capitalised terms have the meanings given below and in the clauses in which they are introduced. "Account" means the personal user account created to access the Service. "Content" means any text, curriculum, study materials, practice items, answer explanations, audio, images, analytics, algorithms, software code, or other material made available through the Service. "Paid Plan" means any subscription plan offered by Huwar from time to time that requires payment of a fee. "Free Plan" means the free tier of the Service described in Clause 6. "Complimentary Month" means the complimentary access period described in Clause 8 (currently thirty (30) days). "Payment Gateway Provider" means the third-party payment service provider engaged by Huwar from time to time to process payments. "Privacy Notice" means Huwar's privacy notice published at (huwar.ai/privacy), as updated from time to time. "Reviewer Portal" means the portal made available at (teach.huwar.ai) through which a User who has been granted access may review, edit, or contribute Content. "Reviewer" means a User who has applied for and been granted access to the Reviewer Portal. "Contribution" means any edit, correction, newly authored question, answer, explanation, classification, tag, or comment a User submits through the Reviewer Portal. "Confidential Information" means any Content and information made available to a Reviewer through the Reviewer Portal that is not otherwise public, including practice items together with their correct answers, explanations and classifications, and any analytics or other non-public information disclosed to the Reviewer. "Linked Teacher" means a User to whom another User has chosen to grant access to that other User's performance data through the Service. "PDPL" means the Saudi Personal Data Protection Law (Royal Decree No. M/19 dated 9/2/1443H), as amended, and its implementing regulations. "E-Commerce Law" means the Saudi E-Commerce Law (Royal Decree No. M/126 dated 7/11/1440H), as amended, and its implementing regulations. A Reviewer holds a separate Account for Reviewer Portal access; references to an "Account" include such a Reviewer Account except where the context requires otherwise.

Clause 4. Account Registration and Security

To access most features of the Service, you must create an Account using accurate, current and complete information, and keep that information up to date. No payment card or other payment method is required to register an Account. An Account may be created or accessed through a supported third-party sign-in (for example, Google), in which case the same Account rules apply.

You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your Account. You must notify Huwar promptly at (support@huwar.ai) of any unauthorised use of your Account or any other breach of security.

One Account is personal to one individual User. You may not share, transfer, sell, rent or otherwise make your Account available to any other person. Huwar may take reasonable measures to detect and act on signals of Account sharing. The foregoing is subject to the carve-out that a User may also hold a separate Account for Reviewer Portal access under Clause 18.

Clause 5. Description of the Service

Huwar offers two distinct products: (i) a Qudurat (GAT) preparation product and (ii) a Tahsili (AT) preparation product. Each product is independent and may be accessed individually or together, depending on the plan you hold.

Subject to the plan you hold, the Service provides access to: (a) Huwar's curriculum, study materials and practice products for Qudurat (GAT), Tahsili (AT), or both; (b) timed practice examinations modelled on the format of Qudurat or Tahsili, as applicable to your plan, intended to provide preparation practice and not to reproduce any official examination exactly; (c) performance and data analytics together with answer explanations; (d) the Reviewer Portal described in Clause 18, for a User who applies for and is granted access; (e) features that may display a User's ranking or performance, and a name where the User opts in, to other Users, where a User's name is not shown to other Users unless the User opts in and, where the User does not opt in, the name is masked; and (f) such additional features, content or modules as Huwar may add from time to time.

Specific features, modules and Content within the Service may be added, modified, restricted, or made temporarily unavailable from time to time, including during phased rollout, maintenance windows, or in response to operational, security, or regulatory requirements. The availability of any individual feature is not guaranteed and is subject to Clauses 22 and 24.

You are responsible for ensuring that your device, browser, software, internet connection and any other equipment or services you use to access the Service meet the technical requirements published by Huwar from time to time. Huwar is not responsible for any inability to access or use the Service that arises from your equipment, network, operating environment, or any third-party service on which your access depends.

Huwar is an independent platform. Huwar is not affiliated with, endorsed by, certified by, or otherwise connected to any government or examination authority. References to Qudurat, Tahsili, GAT or AT are descriptive only and are used in their generally recognised sense.

Clause 6. Free Plan

Huwar offers a Free Plan that allows Users to access a limited portion of the Service, including a capped sample of practice questions and limited mock-examination capacity. The Free Plan does not include performance analytics, full mock-exam features, or other premium Content reserved for Paid Plans. The features available under the Free Plan are determined by Huwar and may change at any time without notice.

No payment card is required to use the Free Plan. Continued access to the Free Plan is conditional on your compliance with these Terms.

Clause 7. Paid Plans and Pricing

Huwar offers one or more Paid Plans. The names, features, billing periods, and prices of the Paid Plans available at any given time are published on the Service, including at the URL (huwar.ai/pricing) or such other URL as Huwar may notify from time to time. The plan information published on the Service forms part of these Terms by reference.

Prices are stated in Saudi Riyals (SAR); where Value Added Tax (VAT) applies, it is included unless otherwise stated. Where prices are quoted in any other currency, the corresponding SAR amount, exchange rate or conversion mechanism will be set out at checkout.

Huwar may add, remove, rename, restructure or re-price its Paid Plans at any time. Any change to the price of an existing subscription will take effect from the next renewal term and will be notified to you by email to the address registered on your Account a reasonable period before the renewal. If you do not accept a price change, you may cancel the subscription in accordance with Clause 11 before the new price takes effect.

Clause 8. Complimentary Month

Upon successful registration of an Account, Huwar activates the Complimentary Month: one month (currently thirty (30) days) of free access to the full premium feature set of the Service, commencing on the date the Account is activated. No payment card or payment method is required to register or to use the Complimentary Month.

During the Complimentary Month, you may at any time subscribe to a Paid Plan or switch to the Free Plan using the controls in your Account. If you subscribe during the Complimentary Month, the Paid Plan is charged at the price then in effect, and paid access begins after the remaining complimentary days are used. If you do not subscribe, your Account will automatically revert to the Free Plan at the end of the Complimentary Month, with no charge applied (because no payment method is held on your Account unless and until you elect to subscribe).

The Complimentary Month is granted once per User and once per Account. Huwar may take reasonable measures to prevent abuse of the Complimentary Month, including measures based on device, registration channel, identity verification or other signals. Promotional terms may, at Huwar's discretion, vary the length of the Complimentary Month, the feature set granted during it, or replace it with a different introductory offer; in such cases the promotional terms will govern.

Clause 9. Auto-Renewal

Unless the plan information published on the Service expressly states otherwise, every Paid Plan renews automatically on or shortly before each renewal date for a further period of the same duration, unless cancelled in accordance with Clause 11 before the renewal date.

By subscribing to a Paid Plan, you expressly authorise the Payment Gateway Provider to store your payment card and to make automatic, merchant-initiated recurring charges, and you authorise Huwar and the Payment Gateway Provider to charge the applicable fee to the payment method on file on or shortly before each renewal date, at the price then in effect. Where you hold a valid recurring discount under Clause 10, the renewing price reflects that discount for as long as it remains valid. Huwar will send you a reminder by email to the address registered on your Account a reasonable period before each auto-renewal charge. An invoice or receipt will be issued promptly after each successful charge.

Clause 10. Referral Discounts

From time to time Huwar may operate a referral programme under which a User may receive a discount (currently a recurring discount of thirty-five percent (35%)) for being one of a limited number of the earliest Users invited by another User. Where a discount is expressed to be recurring, it reduces the price charged at each renewal for as long as it remains valid, and it ends when the relevant subscription is cancelled or otherwise ends, with no residual entitlement. A User who invites another person must have the right to share that person's contact details with Huwar for the purpose of sending the invitation. Huwar may change, suspend, withdraw, or invalidate the referral programme or any discount at any time on a prospective basis, including where Huwar reasonably suspects abuse. The current terms of any referral programme are published on the Service and form part of these Terms by reference, and the Privacy Notice describes how an invitee's contact details are processed.

Clause 11. Cancellation

You may cancel your subscription at any time using the cancellation controls in your Account. Cancellation does not delete your Account; unless you also choose to close your Account, your Account will revert to the Free Plan at the end of the period described below.

(a) During the Complimentary Month, you may switch to the Free Plan at any time using the controls in your Account. Because no payment method is held on your Account during the Complimentary Month, no charge applies. Your Account will revert to the Free Plan at the end of the Complimentary Month, or earlier where the Account controls allow.

(b) After the Complimentary Month, cancellation of any Paid Plan takes effect at the end of the then-current billing period. No further charges will be taken. You will retain Paid Plan access until the end of that billing period, after which your subscription will not renew and your Account will revert to the Free Plan. No partial or pro-rated refund is payable for the unused portion of any billing period.

Huwar may cancel a subscription in the circumstances set out in Clause 23 (Suspension and Termination).

Clause 12. Refunds

Except where required by mandatory applicable law, fees paid for Paid Plans are non-refundable once the Complimentary Month has ended. On cancellation, your Paid Plan access ends at the end of the then-current billing period and your Account reverts to the Free Plan; no partial or pro-rated refund is payable for any unused portion. Nothing in this Clause excludes or limits any non-waivable right you have under the E-Commerce Law or any other mandatory applicable law, and this Clause is subordinate to those rights.

Huwar may, at its sole discretion, grant a refund in cases such as duplicate charges, payment-processing errors, or material defects in the Service that have not been remedied within a reasonable time. Refund requests should be sent to (support@huwar.ai) with the Account email and a brief description of the reason; Huwar will manage the review process internally.

Clause 13. Payment and Billing

Payments for Paid Plans are processed by a third-party Payment Gateway Provider. By providing payment details, you authorise Huwar and the Payment Gateway Provider to charge the relevant amounts. When you take out a Paid Plan, you authorise the Payment Gateway Provider to store your payment card (card-on-file) and to perform automatic recurring charges at each renewal; this authorisation is given before checkout. Card and payment data is collected and stored by the Payment Gateway Provider in accordance with applicable industry standards; Huwar does not store full card numbers; Huwar may retain limited card metadata (such as card brand and the last four digits) provided by the Payment Gateway Provider to identify the card on file.

If a scheduled payment fails, Huwar (or the Payment Gateway Provider) may retry the charge for a reasonable period. If the charge continues to fail, Huwar may suspend or terminate your subscription and restrict your access to Paid Plan features.

Chargebacks initiated without first contacting Huwar support and allowing a reasonable opportunity to resolve the dispute may be treated as a material breach of these Terms.

Clause 14. Intellectual Property

All rights, title and interest in and to the Service and all Content (including, without limitation, the Huwar name and logo, the user interface, the curriculum, study materials, answer explanations, mock examinations, analytics, source code, algorithms, visual design, documentation and derivative works) are and shall remain the sole and exclusive property of Huwar or its licensors. This includes all rights in any Contribution, which are assigned to Huwar under Clause 18. The Service and the Content are protected by the Saudi Copyright Protection Law (Royal Decree No. M/41 dated 2/7/1424H) and other applicable intellectual-property laws of the Kingdom of Saudi Arabia. No rights are granted to you other than those expressly set out in Clause 15.

"Huwar", the Huwar logo, and related marks are trademarks of Huwar, protected under the Saudi Trademark Law (Royal Decree No. M/51 dated 26/7/1435H) and other applicable laws of the Kingdom of Saudi Arabia. Nothing in these Terms grants you any right to use any Huwar trademark without Huwar's prior written consent.

Clause 15. Licence to Use the Service

Subject to your compliance with these Terms and, where applicable, payment of the relevant fees, Huwar grants you a personal, limited, non-exclusive, non-transferable, non-sublicensable and revocable licence to access and use the Service and the Content for your own personal, non-commercial educational purposes, during the term of your subscription or the period in which you hold a Free Plan account.

This licence does not permit, and you may not (and must not permit any third party to): (a) copy, reproduce, republish, upload, post, transmit, distribute, sell, resell, rent, lease or otherwise exploit the Content in any medium; (b) share screenshots, recordings or any other capture of the Content beyond your personal use; (c) create derivative works from, translate, modify or adapt the Content; (d) use the Content to train, fine-tune, benchmark or otherwise develop any model, machine-learning system, dataset or competing product; (e) use automated means (including bots, scrapers, crawlers or browser automation) to access, harvest or extract the Content; or (f) reverse engineer, decompile or disassemble any part of the Service, except to the extent such restriction is prohibited by mandatory applicable law. The prohibition in (c) does not apply to a Contribution you are authorised to make through the Reviewer Portal under Clause 18.

Clause 16. Acceptable Use

You agree to use the Service lawfully, respectfully and in good faith, and in compliance with all applicable laws and regulations of the Kingdom of Saudi Arabia, including (without limitation) the Anti-Cybercrime Law (Royal Decree No. M/17 dated 8/3/1428H), the E-Commerce Law, the PDPL, and any applicable regulatory rules.

Without prejudice to the foregoing, you must not: (a) breach any applicable law or regulation; (b) upload, transmit or otherwise make available any content that is unlawful, infringing, defamatory, obscene, hateful, or harassing; (c) attempt to gain unauthorised access to the Service, other Users' accounts, or the underlying systems and networks; (d) interfere with or disrupt the Service or the servers or networks connected to it; (e) use the Service in any manner that could damage, disable, overburden or impair the Service; or (f) impersonate any person or misrepresent your affiliation with any person or entity.

The acceptable-use rules in this Clause apply to any content or identifier a User makes visible to other Users, including a display name, a self-selected city, review comments, and any uploaded file. Huwar may moderate, mask, or remove any content or identifier that does not comply with these Terms and may revoke a non-compliant display name.

Clause 17. Academic Integrity

Huwar is a preparation tool. You must not: (a) use the Service during the live administration of any Qudurat, Tahsili or other examination; (b) assist any third party to cheat in any such examination; (c) redistribute or publish Huwar's Content, including any practice items, explanations or mock examinations, in any form (including to social media, messaging groups, study-sharing platforms, or other websites); or (d) use the Service to operate a commercial tutoring, reselling or examination-answer service.

A breach of this Clause is a material breach of these Terms and entitles Huwar to suspend or terminate your Account immediately in accordance with Clause 23, without refund.

Clause 18. Reviewer and Contributor Portal

Access and eligibility. In addition to the other features of the Service, Huwar makes a Reviewer Portal available at (teach.huwar.ai). A User may apply for access to the Reviewer Portal, and a User who is granted access may hold a Reviewer account that is separate from any other Account the User holds. These Terms and the Privacy Notice govern use of the Reviewer Portal in the same way as the rest of the Service. Access to the Reviewer Portal is granted at Huwar's sole discretion, is conditional on your continued compliance with these Terms, and may be refused, suspended, or revoked at any time, with immediate effect and without liability, including where Huwar considers it necessary to protect the integrity of the Service or the Content.

Nature of the relationship. Acting as a Reviewer is entirely voluntary and unpaid. You are not entitled to any payment, fee, compensation, or other consideration for any review you carry out or any Contribution you make, and nothing in these Terms or arising from the use of the Reviewer Portal creates any employment, agency, partnership, or joint-venture relationship between you and Huwar.

Reviewer obligations. When you use the Reviewer Portal you must: (a) carry out reviews and make Contributions accurately, in good faith, and to the best of your knowledge; (b) not introduce, copy, or reproduce any actual, leaked, or recalled examination material, or any material that infringes the rights of any third party; (c) comply with the assignment of rights and the confidentiality undertaking in this Clause; (d) disclose, and not act under, any conflict of interest; and (e) not misuse your access to the Content. Huwar retains full editorial control over the Service and the final decision on whether any Contribution is published. A breach of this Clause is a material breach of these Terms and entitles Huwar to revoke your access and to act under Clause 23.

Assignment of Contributions. You agree that, at the moment each Contribution is made, you assign to Huwar, absolutely and irrevocably, all intellectual-property rights, title and interest of every kind, present and future, in and to that Contribution, throughout the world and for the full term of those rights. To the maximum extent permitted by applicable law, you waive any moral rights you may have in your Contributions. You warrant that each Contribution is your own original work, does not infringe the rights of any third party, and is not copied from any third party or from any official examination material. If and to the extent any assignment under this Clause is not effective, you grant Huwar a perpetual, irrevocable, worldwide, royalty-free, exclusive and sublicensable licence to use, reproduce, modify, publish and exploit the Contribution for any purpose. This Clause does not limit Clause 14, and the prohibition on creating derivative works in Clause 15 does not apply to Contributions you are authorised to make through the Reviewer Portal.

Confidentiality. The Confidential Information is the confidential information and a trade secret of Huwar. You may access and use the Confidential Information solely to carry out reviews and make Contributions through the Reviewer Portal. You must not, during or after the period in which you hold Reviewer access: (a) copy, store, or retain the Confidential Information outside the Reviewer Portal; (b) disclose it to any other person; or (c) use it for any other purpose, including to develop, operate, or assist any product or service that competes with the Service. This Clause survives the revocation of your Reviewer access and the termination of your Account.

Clause 19. Privacy and Data Protection

Huwar processes personal data in accordance with the Privacy Notice published at (huwar.ai/privacy) and in accordance with the PDPL. The Privacy Notice forms part of these Terms. Huwar's use of cookies and similar technologies, including analytics cookies set only with your consent, is described in the Cookie Policy published on the Service. For privacy enquiries or to exercise your rights as a data subject under the PDPL, you may contact (privacy@huwar.ai).

Clause 20. Sharing Your Performance Data with a Linked Teacher

The Service may allow you to link your Account with another User (a "Linked Teacher") and to share defined performance data with that Linked Teacher. Any such sharing takes place only with your separate, specific consent given through the Service or, where you do not have full legal capacity, the consent of your guardian or legal representative. Such consent is time-limited (currently valid for ninety (90) days, with the option to extend) and the categories of data shared and the validity period are described in the Privacy Notice. You may withdraw your consent at any time using the controls in your Account, and the sharing ends when the link or your consent ends. A Linked Teacher receives your data as an independent recipient for their own use, and not as a processor acting on Huwar's instructions.

Clause 21. Communications

By creating an Account you consent to receive transactional communications from Huwar that are necessary for the operation of the Service (including welcome emails, receipts, password-reset emails, service announcements, security notices, and notices concerning changes to these Terms). You may not opt out of transactional communications while you hold an Account.

Marketing communications (including promotional emails, SMS and WhatsApp messages) will only be sent to you if you have separately and expressly opted in. Engagement and achievement notifications (such as notifications about your ranking, streaks, or activity) are optional and are treated as marketing communications, sent only where you have separately and expressly opted in, and you may manage them using the notification preferences in your Account. You may withdraw your marketing consent at any time using the unsubscribe mechanism in the relevant message or by contacting (privacy@huwar.ai).

Clause 22. Service Availability and Modifications

Huwar aims to make the Service available continuously but does not guarantee uninterrupted, error-free or secure access. The Service may be temporarily unavailable due to scheduled maintenance, emergency maintenance, third-party service failures, force-majeure events or other operational reasons.

Huwar may, at any time and without liability to you: (a) modify, suspend, or discontinue (in whole or in part) the Service or any features, Content, or plans; (b) impose limits on use or storage; or (c) change the technical requirements for using the Service. Where a change is materially adverse to Paid Plan subscribers, Huwar will use reasonable efforts to give reasonable prior notice.

Clause 23. Suspension and Termination

Without prejudice to any other right or remedy, Huwar may suspend or terminate your Account and your access to the Service, immediately and without refund, if: (a) you breach these Terms (including, without limitation, the licence, acceptable-use, academic-integrity, or Reviewer Portal clauses); (b) you fail to pay any fee when due; (c) Huwar is required to do so by law or by a competent authority; or (d) your use of the Service poses a risk to other Users, to Huwar, or to the integrity of the Service.

Huwar may investigate suspected breaches of these Terms or of applicable law, and may cooperate with competent authorities and law-enforcement agencies in such investigations, including by sharing relevant Account information where required by law or where reasonably necessary to enforce these Terms or to protect the rights, property or safety of Huwar, its Users or third parties.

You may terminate these Terms at any time by cancelling your subscription (if any) and ceasing to use the Service. Clauses that by their nature are intended to survive termination shall so survive. For the avoidance of doubt, the assignment of Contributions and the confidentiality undertaking in Clause 18 survive the revocation of Reviewer access and the termination of your Account.

Clause 24. Disclaimers

The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Huwar disclaims all warranties of any kind, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy and completeness.

Huwar does not guarantee any particular examination score, academic outcome, admission result or placement. Examination outcomes depend on many factors outside Huwar's control, including the User's own effort, preparation, examination conditions and the decisions of examination authorities.

Answer explanations, study materials and analytics are produced for general educational reference and may be incomplete, outdated or incorrect. Some Content may be contributed or edited by Reviewers, and Huwar does not warrant its accuracy; any such Content is contributed by a User, and Huwar's editorial review does not constitute a warranty of the accuracy of contributor-authored material. You are responsible for evaluating the accuracy of any output before relying on it. The Service does not constitute professional educational, legal or medical advice.

Practice examinations and preparation materials provided through the Service are designed to support exam preparation and are not certified to reproduce the format, content, scoring, or experience of any official examination. Actual official examinations may differ in content, structure, timing, scoring, and difficulty.

Clause 25. Limitation of Liability

Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law (including liability for fraud or gross negligence).

Subject to the preceding paragraph, and to the maximum extent permitted by applicable law: (a) Huwar's total aggregate liability to you arising out of or in connection with these Terms or your use of the Service (whether in contract, tort, under statute or otherwise) shall not exceed the total amount of fees actually paid by you to Huwar for the Service in the twelve (12) months immediately preceding the event giving rise to the claim; and (b) Huwar shall not be liable for any indirect, consequential, special, incidental or punitive damages, loss of profits, loss of revenue, loss of data, loss of goodwill, loss of opportunity, or loss of educational outcome, whether or not such loss was foreseeable.

Clause 26. Indemnification

You agree to indemnify, defend and hold harmless Huwar, its affiliates, and their respective directors, officers, employees and agents from and against any claims, damages, losses, liabilities, costs and expenses (including reasonable legal fees) arising out of or in connection with: (a) your breach of these Terms; (b) your misuse of the Service or the Content; (c) your infringement of any third-party right, including any third-party right infringed by a Contribution you make; or (d) the misuse of your Account credentials.

Clause 27. Force Majeure

Huwar shall not be liable for any failure or delay in performance of its obligations under these Terms to the extent such failure or delay is caused by an event beyond its reasonable control, including acts of God, natural disasters, epidemics or pandemics, armed conflict, civil unrest, terrorism, cyber-attacks, failures of the public internet or telecommunications networks, acts or omissions of a Payment Gateway Provider, or any changes in laws or regulations issued by a governmental or regulatory authority.

If a force majeure event continues for more than ninety (90) days, either party may terminate the affected portion of the Service on written notice, without further liability arising solely from such termination. Any fees prepaid by a User for a period during which the Service has been continuously unavailable due to a force majeure event will, at Huwar's discretion, be credited or refunded on a pro-rata basis.

Clause 28. Governing Law and Dispute Resolution

These Terms, and any non-contractual obligations arising out of or in connection with them, are governed by the laws of the Kingdom of Saudi Arabia.

Any dispute, controversy or claim arising out of or in connection with these Terms, including any question regarding their existence, validity, interpretation, breach or termination, shall be referred to and finally resolved by the competent courts of Riyadh, Kingdom of Saudi Arabia, to whose exclusive jurisdiction the parties hereby submit.

Nothing in this Clause prevents Huwar from seeking urgent injunctive or equitable relief in any jurisdiction to protect its intellectual property, Confidential Information, or other proprietary rights.

Clause 29. Language

These Terms are issued in Arabic and in English. In the event of any discrepancy, inconsistency or conflict between the two versions, the Arabic version shall prevail and be legally binding; the English version is provided for convenience and reference only.

Clause 30. Changes to the Terms

Huwar may amend these Terms from time to time. Amendments will be posted on the Service (for example, at (huwar.ai)) and the "Effective Date" at the head of the Terms will be updated accordingly.

Where an amendment is materially adverse to Users holding a Paid Plan, Huwar will use reasonable efforts to notify those Users by email at least fourteen (14) days before the amendment takes effect. Continued use of the Service after the effective date of an amendment constitutes acceptance of the amended Terms. If you do not accept an amendment, you must stop using the Service and may cancel your subscription in accordance with Clause 11.

Clause 31. Miscellaneous

Entire Agreement. These Terms, together with the Privacy Notice and any plan-specific or promotional terms expressly incorporated by reference, constitute the entire agreement between you and Huwar in relation to the Service and supersede any prior agreement or understanding.

Severability. If any provision of these Terms is held to be invalid, illegal or unenforceable, that provision shall be severed and the remaining provisions shall continue in full force and effect.

No Waiver. Failure or delay by Huwar in exercising any right under these Terms shall not operate as a waiver of that right.

Assignment. You may not assign or transfer these Terms or any rights or obligations under them without Huwar's prior written consent. Huwar may assign or transfer these Terms, in whole or in part, to an affiliate or to a successor in connection with a merger, acquisition, corporate reorganisation or sale of all or substantially all of its assets, including to any holding company or other entity that may be established in the future.

Notices. Notices to you will be sent to the email address registered on your Account. Notices to Huwar must be sent to (legal@huwar.ai) and, where a formal written notice is required, to the registered office of Huwar in Riyadh.

Relationship of the Parties. Nothing in these Terms creates any partnership, joint venture, agency or employment relationship between you and Huwar, including in respect of any User who acts as a Reviewer.
